Valero Energy VLO Q4 2012 Earnings Call Transcript

Operator: Welcome to the Valero Energy Corporation Reports 2012 Fourth Quarter and Annual Earnings Conference Call. My name is Trish, and I'll be your operator for today's call. At this time, all participants are in a listen-only mode. Later, we will conduct a question-and-answer session. Please note that this conference is being recorded.

I will now turn the call over to Ashley Smith. Please go ahead.

Ashley Smith - VP, IR: Thank you, Trish. Good morning, and welcome to our earnings conference call today. With me are Bill Klesse, our Chairman and CEO; Mike Ciskowski, our CFO; Joe Gorder, President and COO; Gene Edwards, our Chief Development Officer; Kim Bowers, President of Retail and several other members of our senior management team.

If you have not received the earnings release and would like a copy, you can find one on our website at valero.com. Also, attached to the earnings release are tables that provide additional financial information on our business segments. If you have any questions after reviewing these tables, please feel free to contact me after the call.

Before we get started, I'd like to direct your attention to the forward-looking statements disclaimer contained in the press release. In summary it says that statements in the press release and on this conference call that state the Company's or management's expectations or predictions of the future are forward-looking statements intended to be covered by the Safe Harbor provisions under federal securities laws. There are many factors that could cause actual results to differ from our expectations, including those we've described in our filings with the SEC.

As noted in the release, we reported fourth quarter 2012 earnings of $1 billion or $1.82 per share. This includes a non-cash asset impairment loss of $37 million after taxes or $0.06 per share which is primarily related to permanently canceled capital projects at certain of our refineries.

This is our highest fourth quarter earnings per share since 2005. For the full year 2012 net income attributable to Valero stockholders was $2.1 billion, or $3.75 per share. Included in these results were non-cash asset impairment losses of $983 million after taxes or $1.77 per share and severance expense of $41 million after-taxes or $0.07 per share mainly related to the shutdown and impairment of the Aruba refinery.

Operating income was $1.06 billion versus operating income of $167 million in the fourth quarter of 2011. The increase in operating income was mainly due to higher refining margins in each of our refining regions. Partially offsetting the operating was a significant decline in the ethanol margins.

Our fourth quarter refining throughput margin was $12.27 per barrel, which is a large increase versus the fourth quarter of 2011 margin, which was $5.46 per barrel. The increase in refining throughput margin was mainly due to wider discounts on medium-sour, heavy-sour and domestic light crude oils. For example, comparing the fourth quarter of 2011 to the fourth quarter of 2012 the Brent less Mars medium-sour discount improved by nearly $3 per barrel, the Brent less Maya heavy-sour discount improved by over $11 per barrel, and the Brent less WTI domestic light discounts improved by nearly $7 per barrel.

Israel soccer team plans to add 2 Muslims, despite fans' anger

JERUSALEM ? Managers of a popular Jerusalem soccer club vowed Wednesday to proceed with plans to introduce two Muslim players to the mostly Jewish team despite a backlash from some fans.

The two new players, Zaur Sadayev and Gabriel Kadiev from the breakaway Russian republic of Chechnya, arrived in Israel amid tight security and expressed hopes that they would be welcomed as new players for Beitar Jerusalem.

But a group of fans protested their impending arrival during a game last weekend, unfurling a large banner that read, "Beitar Forever Pure." They also chanted slogans, such as "No Entry for Arabs," although the players are not Arabs.

Though Beitar fans have a long, checkered history of racist outbursts and violence, the latest behavior shocked many here. Critics said use of the word "pure" was particularly offensive since similar language has been used against the Jewish people, including during the Holocaust.

"Racism has struck the Jewish people harder than any other nation in the world," said Israeli President Shimon Peres. "Authorities must prevent it before it starts."

The Israel Football Assn. on Tuesday levied a $13,500 fine against the team over fans' racist taunts last weekend.

But Beitar managers were so worried about their fans' lingering anger that they initially suggested that Tuesday night's match against Maccabi Umm al-Fahm, a mostly Arab team, be played in an empty stadium in Jerusalem. The game went ahead as planned with spectators in the stands, but hundreds of police were dispatched to maintain the peace and keep fans of the two teams separated. Beitar won, 5-0.

Beitar officials said they would not back down from the decision to bring in the Chechen players.

"The fans don't manage this team," said Beitar spokesman Assaf Shaked. "It doesn't matter whether a player is Jewish, Muslim or Christian. We want to change the behavior of the fans and clean up this violence. But we need the help of the government and the police. We can't do it alone."

Beitar's team currently includes three foreign players who are Christian, but it is the only club in Israel to have never included an Arab. Several years ago, it signed another foreign Muslim player, but he left a few months later after being harassed by fans, Shaked said.

Beitar's fans are widely known as some of the most aggressive and badly behaved in the country, even in a sport where antagonistic behavior is common. Many fans ? who have long been associated with Israel's right-wing nationalist movement ? wear their "bad boy" image as a badge of honor.

Critics blame politicians and police for tolerating the activities for years and failing to crack down when fans cross the line.

In addition to chanting anti-Arab slogans and shouting insults about the prophet Muhammad, Beitar fans frequently scream like monkeys or throw plastic bananas on the field when black players take the ball.

They once shocked the country by refusing to observe a moment of silence for assassinated Prime Minister Yitzhak Rabin, who pursued a peace deal with Palestinians.

After a game a year ago, hundreds of young fans rioted through a shopping mall near the Jerusalem stadium, assaulting and harassing Arab workers and customers.

In recent days, some Israeli leaders have come out strongly against the behavior. Former Prime Minster Ehud Olmert, a long-time fan and supporter of the club, said he would boycott games until the racist fans were brought under control.

"Either we remove this group of racists from our field and cut it off from the team, or we are all like them," he wrote in a newspaper column Tuesday. "I'm simply fed up with being identified with the benighted rudeness of people who never were and never will belong to what Beitar should symbolize in sports and in Israeli society."

Some the team's fans are unrepentant.

"If they bring in Muslims, the fans will burn down the club," one man in his 20s told newspaper Yediot Aharonot. "That can't happen. Arabs and Beitar Jerusalem don't mix."

LATEST: Family car stolen after teenager's Facebook house party

A New Year house party advertised on Facebook ended badly for the teenage host after one uninvited guest stole the family car.

Jed Duncan, 17, took a set of car keys from a home in the Sheddocksley area of Aberdeen and stole a Land Rover parked outside.

Neighbours called the police after spotting suspicious activity outside the house and the car thief was later arrested.

Duncan admitted stealing the vehicle - belonging to 17-year-old Jake McCallum's father - on January 3 when he appeared at the city's sheriff court on Tuesday.

He also admitted a charge of driving while disqualified and driving with no insurance. Sentence was deferred and he was remanded in custody.

Electrical engineering student Jake previously told how he had organised a small get-together with friends as he had been working at a hotel on Hogmanay and had missed out on New Year celebrations.

Jake said: "I invited people through Facebook and texts, and my friend put it as his status online asking people if they wanted to come to the party.

"It was just a small party to begin with, I thought there would be maybe five people but then more turned up and it escalated.

"It was a good atmosphere, everyone was friendly, and I didn't find out the car was missing until the police came."

Police contacted Jake and asked if he was driving the car after neighbours reported seeing someone getting into the Land Rover.

Jake's father James, 40, was working offshore on the night of the party. The Land Rover was later recovered by police.

Duncan, who has a string of motoring offences despite being only 17, was branded a "disgrace" by a sheriff when he appeared in the same court on driving charges at the age of 16 last year.

At the time the teenager admitted a charge of dangerous driving and the reset of a stolen Skoda car, both committed on May 29 last year.

He was sentenced to a community payback order with 200 hours of unpaid work and a supervision requirement of 24 months. He was also banned from holding a driving licence for 18 months.

How brain cells shape temperature preferences

Jan. 29, 2013 ? While the wooly musk ox may like it cold, fruit flies definitely do not. They like it hot, or at least warm. In fact, their preferred optimum temperature is very similar to that of humans -- 76 degrees F.

Scientists have known that a type of brain cell circuit helps regulate a variety of innate and learned behavior in animals, including their temperature preferences. What has been a mystery is whether or not this behavior stems from a specific set of neurons (brain cells) or overlapping sets.

Now, a new study from The Scripps Research Institute (TSRI) shows that a complex set of overlapping neuronal circuits work in concert to drive temperature preferences in the fruit fly Drosophila by affecting a single target, a heavy bundle of neurons within the fly brain known as the mushroom body. These nerve bundles, which get their name from their bulbous shape, play critical roles in learning and memory.

The study, published in the January 30, 2013 edition of the Journal of Neuroscience, shows that dopaminergic circuits -- brain cells that synthesize dopamine, a common neurotransmitter -- within the mushroom body do not encode a single signal, but rather perform a more complex computation of environmental conditions.

"We found that dopamine neurons process multiple inputs to generate multiple outputs -- the same set of nerves process sensory information and reward-avoidance learning," said TSRI Assistant Professor Seth Tomchik. "This discovery helps lay the groundwork to better understand how information is processed in the brain. A similar set of neurons is involved in behavior preferences in humans -- from basic rewards to more complex learning and memory."

Using imaging techniques that allow scientists to visualize neuron activity in real time, the study illuminated the response of dopaminergic neurons to changes in temperature. The behavioral roles were then examined by silencing various subsets of these neurons. Flies were tested using a temperature gradient plate; the flies moved from one place to another to express their temperature preferences.

As it turns out, genetic silencing of dopaminergic neurons innervating the mushroom body substantially reduces cold avoidance behavior. "If you give the fly a choice, it will pick San Diego weather every time," Tomchik said, "but if you shut down those nerves, they suddenly don't mind being in Minnesota."

The study also showed dopaminergic neurons respond to cooling with sudden a burst of activity at the onset of a drop in temperature, before settling down to a lower steady-state level. This initial burst of dopamine could function to increase neuronal plasticity -- the ability to adapt -- during periods of environmental change when the organism needs to acquire new associative memories or update previous associations with temperature changes.

The study, "Dopaminergic Neurons Encode a Distributed, Asymmetric Representation of Temperature in Drosophila," was supported by the National Institute of Mental Health of the National Institutes of Health (grant number K99 MH092294).

Dropbox now guaranteed massive success after Ballmer dismisses it as a ?little startup?

Microsoft CEO Ballmer InterviewSteve Ballmer

It?s too bad that Dropbox isn?t a publicly traded company, because it would be a great time to buy its shares now that Microsoft (MSFT) CEO Steve Ballmer has given it his patented reverse-kiss-of-death. Ballmer, who previously predicted the iPhone would flop because it lacked a physical keyboard and that?Android would fail because Google wasn?t slapping OEMs with any licensing fees?to use it, told BusinessWeek?on Tuesday that the cloud storage company was just a ?little startup? that posed no threat to Microsoft?s own SkyDrive cloud service.?

[More from BGR: BlackBerry Z10 review]

When?BusinessWeek?s?interviewer pointed out that Dropbox had 100 million users, Ballmer said that most of those users were consumers rather than business customers, which would limit the company?s revenue potential going forward.

[More from BGR: BlackBerry rolls the dice and prices the Z10 high]

?If you want to get numbers like 100 million, it helps to start with consumers as opposed to businesses so you?re doing an apples-to-apples comparison,? Ballmer said. ?In general, I would say a much higher percentage of our unit engagement with our customers comes from the consumer. And a much higher percentage of our revenue participation comes from our business customers.?

Underworld boss shot outside Bulgarian courthouse

SOFIA, Bulgaria (AP) ? A convicted underworld boss was shot and seriously wounded in broad daylight outside a courthouse in Bulgaria's capital on Tuesday, sending panicked people on a busy downtown street scrambling for cover.

The shooter or shooters opened fire at around 9:30 a.m., probably from an apartment building across the street from the Sofia Courthouse, police said. Minutes after the shooting, a fire broke out at the top floor of the building, suggesting that the assailant or assailants may have set a fire to hide their tracks.

Zlatomir Ivanov and one of his bodyguards were both hit as they walked up the stairs to enter the court for an appeals hearing. The bodyguard managed to return fire but was wounded in the leg. Police said Ivanov was undergoing surgery after suffering four gunshot wounds in his legs, arm and stomach.

Ivanov, 44, was sentenced last year to eight years in prison after being convicted of leading an organized criminal group engaging in illegal drugs trade. He appealed the sentence and has been under house arrest since then to recuperate from earlier surgery.

Prime Minister Boiko Borisov, a former top cop, said that "the site gives easy access for a shooting," and added that if Ivanov had been in custody, he would have had protection.

"I have always claimed that persons who have first been sentenced will be much healthier if they stay in custody," Borisov said while addressing a meeting of businessmen at a hotel near the shooting site.

The prosecutor's office said in a statement that "such a brutal act of violence ... in an area of major state institutions and public buildings in a way threatening the life and health of many citizens is a matter of serious worry and concern."

Bulgaria, which joined the European Union in 2007, is still under pressure from Brussels to erase deep-rooted corruption and organized crime that has plagued the country more than two decades after it shook off communism.

In Defense of the Manny

Male babysitter and baby. Manny and baby

When my husband and I toured a preschool last week, the owner told me that her husband, a classical musician, sometimes pops in to play piano for the kids. I assumed she was trying to impress us?what parent doesn?t want a little extra Bach in her child?s life??but then she explained, nervously, that she was telling us because she felt she had to. Might the occasional presence of a penis, her look implied, put us off from her preschool?

Should it? Our son?s current day care is run by a man, and our go-to date night baby sitters are named Matt and Eric. But the more people I talk to and the more things I read, the more I realize that many parents are uncomfortable, or at least much less comfortable, hiring men for child care positions, even if they have the same experience and qualifications. But is this cultural uneasiness fair? Is it based in fact, or is it the product of fear (of molestation, of male ineptitude)? Is it sexism?

There are, of course, good reasons to hire female baby sitters. Because they?re in demand, women typically have more experience than men do. And most of us were raised by women?not just our stay-at-home moms but also the women who dominated our day care environments and preschools and elementary schools, so it makes sense that we choose women to care for our kids. (Things haven?t changed much since I was young: In 2011, only 5.5 percent of U.S. child care workers and 3.3 percent of preschool and kindergarten teachers were men. Male caregivers, jokingly/derisively referred to as mannies these days, have a hard time making a living.)

If you crunch the numbers on abuse, women are a safer choice, too. According to a U.S. Department of Justice report from 2001 (unfortunately the most recent statistics on baby sitter crimes), male baby sitters are three times more likely than female baby sitters to sexually abuse the children they care for. (When it comes to physical abuse, female baby sitters are more frequently implicated, but since most baby sitters are women, this fact isn?t surprising.) Actual baby sitter crime rates are low, though. According to the U.S. Department of Health and Human Services, in 2011, only 0.4 percent of all child abuse perpetrators were day care providers or baby sitters. (And overall, child abusers are more likely to be female than male.)

Plus, many sexual abuse allegations against caregivers are false. In 1983, a mother accused Ray Buckey, a young man working in a preschool in California, of molesting her 2 ?-year-old son. The accusation landed Buckey in prison for five years, caused seven other employees to get indicted, and resulted in what was, at the time, the longest and most expensive criminal trial in American history. After interviewing and examining more than 400 children who had attended the preschool, doctors and psychologists diagnosed 384 as having been sexually abused. And then ? all charges were dismissed; as it turned out, the mother who made the initial accusations suffered from paranoid schizophrenia. But by that point, fears over ritual abuse were sweeping the country (and eventually the world), and between 1983 and 1991, the U.S. government investigated more than 100 U.S. schools and centers for allegations of satanic ritual abuse in what has been called a ?modern American witch hunt.? A study that analyzed 12 of the most famous cases found that, out of 22 defendants that were tried, 15 were found guilty. All but three of these verdicts were later overturned.

Not all parents are afraid of abuse, of course. Some simply don?t trust men to dote on their kids like women do, even as fathers take on a much greater child care role in many households these days. One dad, a friend of a friend, explained it to me this way: ?If my wife and I had doppelg?ngers, I'd feel better if our child was with doppelg?nger Katie than with doppelg?nger Brady; doppelg?nger Brady?would just be a little neglectful by comparison.? I get it: My son is about three times more likely to come home from the playground with a bloody nose if he goes with my husband than with me. At the same time, recent research suggests that daddy time is great for kids precisely because male parenting styles promote independence and risk-taking. In 2012, the London Early Years Foundation, a charity that provides child care services throughout London, interviewed its (mostly female) staff and found that 75 percent believed that male workers offer kids something that the female workers don?t, including different perspectives and, yes, better fantasy superhero play.??

Another oft-mentioned ?reason? for avoiding mannies or other male child care workers is the very logical I just don?t get why a guy would want to do a job like that. In other words, there?s got to be something wrong with a man who wants to spend all day looking after other people?s kids. The implication here (apart from that men who like kids must be pedophiles) is that men don?t belong in child care, perhaps because they more naturally belong in other professions?more obviously ?masculine? career-oriented jobs.

This bias against men is a bias against women, too: It re-affirms the woman?s fixed position in society as much as the man?s. According to Indiana University sociologist Stephen Benard, dominant social groups are usually stereotyped as competent, intelligent, and confident, while subordinate groups are considered warm, kind, and caring. In our society, these two poles describe men and women. Since women are the ?caring? sex, we consider them to be the obvious choice for child care?but in doing so, we are (perhaps subconsciously) characterizing them as subordinate. And in fact, when men do work in preschools or day care centers, they usually get promoted to director positions much more quickly than women do, in what University of Texas sociologist Christine Williams calls the ?glass escalator? effect.

That?s not to say men working in child care have an easy time. ?As a male in the infant-toddler room, it seems as if I am held to a higher standard by the parents,? describes one part-time employee. Some say they are not allowed to change diapers, while others make sure they are never, ever left alone with children, because they fear that parents would get suspicious. But parents do sometimes get used to the idea. A few years ago, 4 out of 5 employees in one of the day care centers run by the London Early Years Foundation were men. (England and Germany, unlike the United States, are pushing to get more men into child care.) ?We wondered what the parents would do,? explains foundation CEO June O?Sullivan. ?There was a little bit of anxiety to start with, but once the parents got familiar with the team, they were fantastic.?

The best thing we can do as parents is to stay open-minded about whom we hire and also be thorough in our background checks of all potential child care candidates. For my part, I know I can?t control what my son thinks, but I can change what he sees, and I want him to see a world in which, yes, women and men can both hold high-paying executive jobs. But they can both teach preschool and baby-sit him, too. Matt and Eric are awesome.

In addition to the sources mentioned, The Kids would like to thank Susan Murray from San Jose State University, David Finkelhor from the University of New Hampshire, and Sandi McLeod from the Child Welfare Information Gateway.

France tells nationals to leave northern Nigeria

PARIS (Reuters) - France has asked its citizens to leave northern Nigeria and areas around the capital Abuja after threats due to its military intervention in Mali, a diplomatic source said on Monday.

Islamist militants have vowed to target French interests following its two-week-old military offensive in Mali against militants allied to al Qaeda.

The diplomatic source said the threat of kidnappings coupled with Nigeria's support for France's action in Mali had raised the risks for French nationals.

France has about 2,000 citizens living in Nigeria, of which 335 live in or around Abuja.

French oil major Total has moved its staff from Abuja following the kidnapping of a French national in a remote northern town close to the Niger border last month, Chief Executive Christophe de Margerie said on Friday.

It was the first time in recent history that a company has said it had evacuated foreigners from Nigeria's capital due to security concerns. The diplomatic source said Total had asked 40 employees to leave Abuja.

Nigerian Islamist group Ansaru said it kidnapped the French national and threatened to continue to target the French because of the country's military action in Mali and its ban on the Islamic veil. Ansaru also claimed responsibility for an attack on a military convoy taking troops from Nigeria to Mali last week in Kogi state, south of the capital Abuja.

The group's full name is Jama'atu Ansarul Musilimina Fi Biladis Sudan, which roughly translates as "Vanguards for the Protection of Muslims in Black Africa".

Ansaru is thought to have loose ties to Islamist sect Boko Haram, which killed hundreds last year in an insurgency focused mostly on Nigerian security forces, religious targets and politicians, rather than foreigners.

Explaining the French advice to leave northern Nigeria, the diplomatic source said: "It's down to a culmination of factors that this decision was taken: the threat of kidnappings on certain people, the French hostages, the commitment of Nigeria on Mali as well as the threats from Boko Haram."

Innovation's Foundation - Getting Personal About Business ...

At the core of every business?s strategy is uncovering the best ways to meet and anticipate their customer or shopper jobs or capabilities and integrate their products and services into that future vision.? Of course, to develop the strategy requires being able to look into the future and identify what current requirements will still be necessary in the foreseeable future, and what new requirements will be needed to accommodate future customer jobs.? The process of migrating from current products and services designed to meet today?s customer needs to a future set of requirements is referred to as innovation.

What is a Job?

In order to understand the concept, the first step is to define what is a ?job.?? A job in this context refers to the capability that the customer strives to complete a task through the use of products and services.? Just like people apply for work and are hired on the basis of the fit between their capabilities and the requirement of the position; certain products and services are hired to allow the customer to achieve an outcome.

Innovation quadrant explains the path products and services take to be hired.

Innovation

Currently, customers may be starting in the lower left quadrant.? They operate in a routinized or mechanized way to repeat past purchases with little thought to improving or changing.? Their decison considerations are based on a ?search? of known products and services with little exploration beyond that which is in their awareness.

Suppliers will often try to influence the decision-making of the customer by providing price incentives, promotions, advertising, etc.? Those efforts are not innovative in that they do not provide additional capabilities to the customer, but may be effective in shifting market share levels between competitors.? This is captured in the upper left quadrant.?

In some situations, the market?s options of products may lag behind the identified ?jobs? that customers need to complate.? In those instances, there is no progress help available and customers seek other options (not always certain what will provide the necessary capabilities, so they test, trial, explore, etc.). In response to their dissatisfaction with the existing options and capabilities, customers will generate their own homemade solutions that they cobble together in response to the job to be completed.

For true progress to be made,?the innovation?must cross the Progress Horizon Barrier (seen in red on the vertical axis), and incorporate the ?technology? of innovaton barrier (seen in red on the horizontal axis).? In the upper right-hand quadrant, the merchant or store is now a collaborative partner with the customer in helping them assess, analyze, compare and contrast options available to them to more competently and confidently complete their jobs with the new product/service solution set (whether that be new products, an explanation of how existing products can be applied to a job in a new or different way, the mixing of different product options together into a new capability or offering to meet a job?s requirement(s).

The store or merchant has a significant role to play in accomplishing this through a more refined merchandising approach, selling skill enhancement, improvement in marketing activities, etc.? By looking at the quadrant and identifying what is needed to better align with the customer to suit their new job requirement ? and then providing it, the business strategy of innovation can be better matched to future market needs.

After early success, Yahoo's Mayer faces rising bar

SAN FRANCISCO (Reuters) - Six months into her tenure, Yahoo Inc Chief Executive Marissa Mayer has arrested the decline of the Internet portal and has won favor on Wall Street with stock buybacks, but a longer-term turnaround remains uncertain.

Her promise on Tuesday of a modest revenue uptick in the coming year paled in comparison with the growth of its Internet peers. And Yahoo shares, which have gained roughly 30 percent since Mayer took the reins in July, fell nearly 3 percent to $19.77 on Tuesday.

"All in all it seems like they're off of life support," said Michael Binger, a senior portfolio manager at Gradient Investments. But "I still see it as kind of a second tier-search company, a good display company. I still struggle to see the new avenues of growth."

Mayer, 37, who was Google Inc's first female engineer, warned investors on Monday that fixing Yahoo was a long-term project. She outlined a plan to overhaul a dozen of Yahoo's top websites, with the goal of enticing users to spend more time on them and consequently boosting ad revenue through a "chain reaction" of growth.

For investors already satisfied with the stock's recent gains, waiting for Mayer's chain reaction may not be worth the time and risk.

"You can get to $20 with just share purchasing and selling Alibaba stake, basic execution and keeping costs low. Now to drive it further, you've got to fix the properties," said BGC Financial analyst Colin Gillis.

"The road gets a little harder," said Gillis.

The fact that Yahoo is competing against such dominant Web companies as Google, the world's No. 1 search engine, and social networking giant Facebook Inc, makes the challenge all the more daunting.

STREET CRED

The product-focused strategy draws on Mayer's strengths in designing some of the most popular online services at her former employer, including Gmail and Google's famously sparse search engine homepage.

She is widely admired in Silicon Valley for her Web product savvy, though some analysts and investors have cautioned that she has never before led an entire company as CEO.

So far, Mayer has earned high marks in her debut as CEO, with analysts and investors pointing to early accomplishments such as recruiting high-profile executives and boosting morale.

"She comes from a culture that has motivated people to be innovators," said Michael Yoshikami, CEO of Destination Wealth Management, which does not own Yahoo shares.

He said Mayer's "street credibility" should buy her more time with Wall Street as she strives to turn Yahoo around.

"When a new CEO comes in, they have one or two quarters before they have to start showing something. I think she's going to have a year-and-a-half, maybe even two years," said Yoshikami.

Roughly 700 million users still visit a Yahoo website every month - putting it in the top ranks globally. But the amount of activity people engage in on many Yahoo sites, such as its email service, is steadily declining and its smartphone offerings are deemed lackluster.

By contrast, Facebook has created one of the most popular smartphone apps.

Mayer has said her top priority is to create a coherent mobile strategy for Yahoo and that she intends for at least half of the company's technical workforce to be working on mobile products.

The company acquired mobile app developers Stamped and OnTheAir during the quarter, but turning development talent into revenue is the challenge she has yet to address.

Mayer's handpicked finance chief, Ken Goldman, told investors on Monday to expect profit margin pressure in the first half of the year as Yahoo invests in product engineering and marketing to "lay the foundation" for revenue growth in the second half of the year.

And he noted that Yahoo was not through returning capital to shareholders, following the company's $1.5 billion in buybacks in the fourth quarter.

That's been good enough for many investors in Mayer's first six months at Yahoo. The next six months may not be so easy.

"Every area they go into someone is already doing it, probably better," said Binger, of Gradient Investments.

Don't Let the Wedding Ruin Your Marriage! | Stage Climbing

When you dreamt about your wedding as a child?and maybe even later on? you probably envisioned a beautiful white dress, wedding bells ringing and smiles all around while the bouquet is being tossed. You probably didn?t picture the possibility of the stress of planning the wedding itself reaching the point where much of the joy surrounding that special day disappears and actually becomes a burden on your relationship! While wedding planning can be an exciting time for you and your family, sometimes it?s easy to lose sight of why you?re planning it in the first place. If you?re in the midst of planning your wedding, take a few minutes to remember it?s just a party and the main event happens after the honeymoon literally and perhaps figuratively ends. Don?t fall for some of the classic wedding mistakes many couples make that can wreak havoc on your relationship:

It?s a family affair-Some say a marriage is the joining of two families. This is lovely in theory; however, two families mean more opinions, agendas, and the possibility of clashing personalities. Family members can be at their worst when under the stress this can create. The priorities that exist for you and your partner can get lost when you?re trying to please too many people. To make matters worse, you might be drawn to defend your own family?s agenda, while your partner is doing the same, leading to arguments and conflict between the two of you. Remember, the wedding is a celebration of your love as a couple. If you find that you?re listening to your families more than to each other, make it essential to take some time on a regular basis to discuss what?s important to both of you for the wedding and in your relationship as it transitions to a lifelong commitment. In-laws can only be a problem here if either of you let them get between the two of you.

Getting lost in the details- Another common problem before walking down the aisle is getting too caught up in trivial details. If you?re obsessing over whether the tablecloths are eggshell or off-white, you might not be paying attention to the day-to-day nurturing your relationship needs. Just because you?ve made the decision to get married and made it past the engagement, doesn?t mean your relationship is without conflict. In reality, the best relationships are those where both partners realize the value in working on them on an ongoing basis. You may find it helpful to isolate wedding planning to a select time during the week. During other times, agree to make sure talk isn?t only wedding-related. Instead, stay connected to and focused on the other elements of each other?s lives.

Practice for the future-The stressful nature of planning a wedding gives you and your partner the opportunity to practice resolving many of the issues you will face as a couple. Learning how to compromise is essential. It?s quite rare to find two people who want the exact same things. There may need to be tradeoffs. One of you may want a band while the other wants a DJ. Maybe one partner wants a small wedding, while the other a very large one. When contemplating these differences, practice the art of compromise. For example, financial issues also come up while planning a wedding, as they are costly events. If you haven?t already, this is a good time to have a discussion about priorities when it comes to spending and saving money. If it turns out that you and your partner have very different ideas about how to handle money, the best time to address and resolve it is before the wedding!

Most of all, enjoy the day!-Entertaining out-of-towners, keeping track of your vendors and tracking the weather can be taxing. Trust me on this: When the wedding actually happens, the small details won?t really mean very much. During the reception, take a minute to step outside of the party with your new spouse and look in at the joyous occasion. Everyone is there to celebrate your love and wish you a happy and healthy future together. Most of all, don?t forget to have fun! And the best way to do this is to let your wedding day be one you look back on with positive feelings, by leaving all the trivial nonsense behind.

The result was the world's worst fire of its kind in more than a decade, with 231 people dead and this southern Brazilian college town in shock and mourning.(AP Photo/Felipe Dana)

(AP) ? The nightclub Kiss was hot, steamy from the press of beer-fueled bodies dancing close. The Brazilian country band on stage was whipping the young crowd into a frenzy, launching into another fast-paced, accordion-driven tune and lighting flares that spewed silver sparks into the air.

It was another Saturday night in Santa Maria, a university town of about 260,000 on Brazil's southernmost tip.

Then, in the pre-dawn hours of Sunday, it turned into a scene of indescribable horror as sparks lit a fire in the soundproofing material above the stage, churning out black, toxic smoke as flames raced through the former beer warehouse, killing 231 people.

"I was right there, so even though I was far from the door, at least I realized something was wrong," said Rodrigo Rizzi, a first-year nursing student who was next to the stage when the fire broke out and watched the tragedy unfold, horror-stricken and helpless.

"Others, who couldn't see the stage, never had a chance. They never saw it coming."

A security guard said afterward that the club was at its estimated maximum capacity of between 1,000 and 2,000 people.

There was no fire alarm, no sprinklers, no fire escape. In violation of state safety codes, fire extinguishers were not spaced every 1,500 square feet, and there was only one exit. As the city buried its young Monday, questions were raised about whether Brazil is up to the task of ensuring the safety in venues for the World Cup next year, and the Olympics in 2016. Four people were arrested for questioning, including two band members and the nightclub's co-owner.

Rizzi hadn't even planned on going out that night. He was talked into it by friends and knew dozens at the club. He said the first sign of a problem was insulation dripping above the stage.

The flames at that point were barely noticeable, just tiny tongues lapping at the flammable material. The band's singer, Marcelo dos Santos, noticed it and tried to put out the smoldering embers by squirting water from a bottle.

The show kept going. Then, as the ceiling continued to ooze hot molten foam, dos Santos grabbed the drummer's water bottle and aimed it at the fire. That didn't work either, Rizzi said. A security guard handed the band leader a fire extinguisher. He aimed, but nothing came out; the extinguisher didn't work.

At that point, Rizzi said, the singer motioned to the band to get out. Rizzi calmly made his way to the door ? the club's only exit ? still thinking it was a small fire that would quickly be controlled.

The cavernous building was divided into several sections, including a pub and a VIP lounge ? and hundreds of the college students and teenagers crammed in couldn't see the stage. They continued to drink and dance, unaware of the danger spreading above them.

Then, the place became an inferno.

The band members who headed straight for the door lived. One, Danilo Brauner, went back to get his accordion, and never made it out.

The air turned dense and dark with smoke; there was no light, nothing pointing to the single exit. Rizzi found himself clawing through a panicked crowd that surged blindly toward the door.

"I was halfway across the floor, I could see the door, but the air turned black with this thick smoke," he said. "I couldn't breathe. People started to panic and run toward the door. They were falling, screaming, pulling at each other."

The manager, meanwhile, was outside dealing with a drunk and belligerent young man. No one there had any inkling of the desperate scene unfolding just beyond Kiss' black, sound-proof double doors, said taxi driver Edson Schifelbain, who was in his car, waiting for passengers.

A security guard poked his head out and said there was a fight. A fraction of a second later, someone inside yelled "Fire!" The manager opened the doors and it was like opening the gates of hell, Schifelbain said.

Young men and women, mouths and eyes blackened with soot, clothes tattered, tumbled out screaming and crying. Some ran right over his taxi and two other cabs parked nearby, breaking mirrors, windshields, bashing in the doors. Horrified, he realized his cab was in their way, but couldn't move it because there were bodies hunched over it, collapsed in front of the tires, everywhere.

"The horror I saw in their faces, the terror, I'll never forget," he said. Two girls gasping for air climbed into his car, and as soon as he was able, he sped the six miles (10 kilometers) to the university hospital.

"One of them was crying all the way, screaming, 'My friend is dying,'" he said. "I did what I could. I don't know what happened to those girls."

Inside the club, metal barriers meant to organize the lines of people entering and leaving became traps, corralling desperate patrons within yards of the exit. Bodies piled up against the grates, smothered and broken by the crushing mob.

Rizzi was stuck, unable to move, taking in gulps of smoke, feeling the gaseous mix burn his lungs.

He was within seconds of passing out, he said, when the whole frenzied mass suddenly lurched forward. The gates gave way, and everyone toppled over. Rizzi was lying on top of two or three people, several more heaped on top of him. He stuck out his hands, smacking them against the sidewalk and door. Someone pulled him to safety.

"To get out, I climbed, I pulled people's hair. I felt other people grabbing me, hitting me in the face," he said. "It's hard to describe the horror. But once I was outside, I recovered, and started pulling out the others."

Soon, he said, the street was a sea of bodies.

This was the scene 24-year-old Gabriel Barcellos Disconzi found when he arrived about 3:30 a.m., an hour after fire broke out. Wakened by a phone call from friends, the club regular immediately started pulling out bodies as smoke spewed so thick that entering the building was unthinkable.

Using sledgehammers and picks and their bare hands, he and other young men broke down the walls. Born and bred in Santa Maria, the outgoing young lawyer had dozens of friends and acquaintances inside.

"It was all so fast, there was no time for anything, no time for crying over a friend," he said. "It was dead people over here, living over there. Body after body after body."

Both Rizzi and Disconzi were there when they broke into one of the bathrooms and found a tableau of nearly indescribable desperation: It was crammed with bodies, tangled and tossed like dolls, piled as high as Rizzi's chest. In the darkness and confusion, concert-goers had rushed into the bathroom thinking it was an exit. They died, crushed and airless in the dark.

"I'll never forget the wall of people," Rizzi said.

Disconzi helped load them into a truck. Just the dead jammed into that bathroom filled an entire truck, he said.

By this time, the city was waking up to the dimension of the tragedy unfolding at its heart. Doctors, nurses and psychologists began arriving, giving immediate assistance ? checking eyes and respiratory passages, stabilizing the burned, resuscitating those whose hearts had stopped or lungs had failed because of the smoke. The living they loaded into ambulances. The mounting number of dead went into trucks.

At Charity Hospital, the region's largest, "it was a war scene," said Dr. Ronald Bossemeyer, the technical director.

"Trying to give care, comfort the living, and keep family members who started to arrive from overwhelming everything ? it was madness," he said, choking back tears. "The wounded, the doctors, people running with saline, with oxygen. We've never seen so many patients."

As families waited, nurses and technicians ran back and forth, bringing an earring, a shoe, a wallet, anything that could help identify those still living, Bossemeyer said.

As doctors were at work saving those who could be saved, a group of mothers was calling around to check on one another. Elaine Marques Goncalves woke up to that terrible question: Do you know where your child is?

With a jolt, she realized two of her sons, Gustavo and Deivis, had not come home the night before.

"I knew they'd gone to a club, but I didn't know which one," she said. Trying to keep calm, she joined the multitude pressing for news outside the hospital.

Hours later, she got some good news: Gustavo had burns on 20 percent of his body and had suffered two heart attacks as his lungs failed to draw oxygen, but he was alive and being flown to the state capital, Porto Alegre, for treatment.

"I had time to put my hands on him and say, 'My dear, your mother is here with you,'" she said. "He was sedated, but I know he could hear. Then I had to tear myself away and go find my other son."

Hours passed as the dead piled up in the city gym. It took an entire day of anguish before she learned what she'd dreaded most: Deivis was dead.

As he lay there among basketball hoops and water coolers, one body among so many, she asked the questions on everyone's mind.

"How can a club just burn like that? People have to know what happened here," she said. "It won't bring back my son, but I have to ask. This nightclub was beyond capacity. The whole world has to know. Why couldn't they get out?"

US stocks edge up after strong Caterpillar earns

U.S. stocks fell Monday morning, backing off a rally that had pushed the Standard & Poor's 500 index above 1,500 for the first time since December 2007. The modest decline occurred despite of encouraging signs about the manufacturing sector, a key driver of economic growth.

The government said before trading began that orders for long-lasting goods rose in December by 4.6 percent, helped by a 10 percent gain in orders for new aircraft.

Heavy equipment maker Caterpillar said separately that its fourth-quarter net income exceeded analysts' expectations, after adjusting for the cost of a soured deal to buy a Chinese maker of roofing supports for mines. Caterpillar said it took a big charge in the quarter because the Chinese company had misrepresented its finances.

Caterpillar Inc. said it expects growth in China to improve without regaining the levels seen in 2010 or 2011. The stock was the biggest gainer in the Dow Jones industrial average, rising $1.21, or 1.3 percent, to $96.79 as of 10:15 a.m. Eastern time.

Stocks opened mixed after Caterpillar's announcement and the factory orders data, but turned negative in the first half-hour of trading. Declining stocks outnumbered rising stocks by more than two to one on the New York Stock Exchange.

The Dow fell 25 points to 13,870. The S&P 500 dropped six to 1,497. The Nasdaq composite average declined three to 3,146.

Among companies in the S&P 500 that reported earnings Monday, Biogen Idec Inc. said its fourth-quarter net income slipped nearly 3 percent because of a tax charge and higher expenses. Still, the biotech drug maker was one of the top gainers in the S&P 500, rising $4.40, or 3 percent, to $150.60.

Roper Industries Inc., which makes medical and industrial equipment, said its fourth-quarter net income rose 18 percent. But the company issued mixed guidance for the current quarter and full year 2013. It rose 9 cents to $118.92.

Strong corporate earnings have pushed stocks higher in the past two weeks after several calm, relatively news-free weeks. On Friday, the S&P 500 closed above 1,500 for the first time since December 2007, the official start of the worst economic downturn since the 1930s.

In addition to strong earnings, traders have been encouraged by signals that housing market is improving steadily and hiring is picking up, albeit slowly.

There will plenty of fresh data to drive trading this week, including retail sales, economic growth and the government's report on hiring and employment in January, which is due out Friday. More than one-fifth of the companies in the S&P 500 will report fourth-quarter earnings this week.

The yield in the benchmark 10-year Treasury note rose to 1.98 percent from 1.95 percent late Friday, reflecting lower demand for ultra-safe investments. After Monday's factory orders report, the yield rose briefly above 2 percent for the first time since April. A bond's yield rises as demand for it decreases.

The season ends with a performance by the Orange County Youth Orchestra under Daniel Alfred Wachs, who will lead a program that includes a new commission (entitled "Frieze") from progressive British composer Mark-Anthony Turnage and Beethoven's Ninth Symphony, with choirs from UCI, Cal State Fullerton and Chapman University.

Recitals by pianists Olga Kern and Yuja Wang are scheduled as well as chamber concerts by Camera Lucida, the Madelring Quartet, the Scharoun Ensemble Berlin and the Myriad Trio.

Subscriptions ranging from four to 12 concerts go on sale Monday. For more information call 949-553-2422 or visit www.philharmonicsociety.org.

UK firm in weather satellite deal

British satellite manufacturer SSTL will build the follow-on spacecraft for an innovative weather forecasting system run by Taiwan and the US.

The Cosmic constellation derives information about the atmosphere from the way it disturbs GPS signals.

A clutch of spacecraft currently provide this service, and SSTL has been contracted to provide up to 12 more satellites.

The intention is to launch a new batch in 2016.

"It's a great win for the company, beating off international competition, and it's also a very interesting project," said Alex da Silva Curiel from SSTL.

"It involves operational meteorology, good climate science and ionospheric science," he told BBC News.

The Cosmic project is a joint initiative between the National Space Organization (NSPO) of Taiwan and the American National Oceanic and Atmospheric Administration (Noaa).

It relies on a smart observation technique known as radio occultation.

This recognises that a transmission from a Global Positioning Satellite, which ordinarily is used to plot a time and a position, will be bent as it passes through air.

The degree to which this refraction occurs is dependent on the properties of the atmosphere at that moment, and can be exploited to pull out information about temperature, pressure and water vapour - key parameters required in weather forecasting.

NSPO/Noaa's Constellation Observing System for Meteorology, Ionosphere & Climate (Cosmic) operates a series of small spacecraft in a low-Earth orbit to make these observations.

But this satellite series, referred to as FORMOSAT-3, is beginning to fail and needs replacing.

SSTL, with its worldwide reputation for manufacturing high-performance, low-cost spacecraft, has now been engaged to build the next generation - FORMOSAT-7.

The multi-million-pound contract will see an initial six satellites launch in three years' time. A further six could follow in 2018.

SSTL, which is based in Guildford, will assemble the chassis, or bus, of every spacecraft. Each satellite's instrument - the GPS receiver that makes the observations - will be supplied from the US.

Final integration will occur in Taiwan, after which the flight-ready models will be shipped to America for launch.

SSTL is basing the bus design on its "100 series" of Earth observation spacecraft. These normally take the shape of a cube, but NSPO/Noaa's desire to launch six satellites at the same time means the profile of the spacecraft will be more wedge-like to make them all fit on the one rocket.

"We basically take the circular cross-section of the launcher as seen from the top, and we divide it by six. And that is the available shape for each spacecraft. That makes for a long and thin shape," explained Mr da Silva Curiel.

"We can still use the same electronics that we would normally use in a SSTL-100 series satellite, but the structure is a new structure."

Each spacecraft will weigh just under 200kg.

The first batch would go into low-inclination orbits, to provide data of greatest value to Taiwan. The second set would be placed in high-inclination-angle orbits to retrieve information relevant to higher latitudes on the globe.

FORMOSAT/Cosmic observations have proven very useful in medium-range forecasting - those projections that look several days ahead.
